GOGLIO acquires CRISTAL EMBALAGENS
GOGLIO ACQUIRES CRISTAL EMBALAGENS, CONSOLIDATING ITS LEADERSHIP IN SOUTH AMERICA
The deal strengthens the Group’s production capacity in Brazil.
Important synergies are set to develop in sectors such as food, coffee and pet food, driving product development, technology and operational efficiency.
Goglio, an internationally recognized leader in flexible packaging, announces the acquisition, through its Brazilian subsidiary Mega Goglio, of 100% of Cristal Embalagens, a company specializing in flexible packaging production based in Morro da Fumaça, in the state of Santa Catarina (Brazil).
Founded in 1999, Cristal Embalagens — which recorded net revenue of 345 million Brazilian reais (BRL) in 2025 — specializes in developing and manufacturing flexible packaging for numerous sectors, including cereals, pet food, baked goods, and personal hygiene and personal care products. Over more than twenty-seven years of activity, the company — which has 570 employees and operates a plant with 20,700 m² of built surface area on a total site of 254,000 m² — has established itself as an industry benchmark thanks to continuous investment in technology, innovation, quality and sustainability, developing solutions that ensure protection, convenience and added value for its customers’ products.
The deal will generate significant synergies through the integration of expertise and the strengthening of production capacity. In particular, Goglio’s leadership in the coffee sector will be further consolidated through an expanded industrial presence in Brazil — a strategic country for the global coffee supply chain and the world’s leading producer of green coffee — where the Group has had a commercial presence for around 15 years and a production presence since 2023, following the acquisition of Mega Embalagens (now Mega Goglio). At the same time, the integration with Cristal Embalagens will broaden the range of flexible packaging solutions for fast-growing sectors, including pet food, leveraging complementary expertise and creating new development opportunities in international markets.
With the completion of the acquisition, Mega Goglio takes full control of Cristal Embalagens.
“The acquisition of Cristal Embalagens marks a further step in the Group’s international growth journey and strengthens our development strategy in a key market such as Brazil. By integrating complementary expertise, production capacity and know-how, we will be able to expand our range of flexible packaging solutions, continuing to invest in technology, quality and environmental sustainability — the elements that have always guided our development. This deal consolidates our presence in Latin America and strengthens the Group’s competitiveness internationally, allowing us to be even closer to our customers and to support their growth with increasingly efficient and responsible solutions,” said Franco Goglio, Chairman and CEO of Goglio S.p.A. “We are particularly pleased to continue this journey alongside the Graf/Wallauer family. Over the years we have built a relationship of genuine collaboration and strong mutual esteem, elements that are translating into extraordinary results for our growth in Brazil.”
The operational activities, processes and customer relationship channels of both companies will remain unchanged, ensuring continuity throughout the integration process. At the same time, the union of the two companies will make it possible to leverage complementary expertise and accelerate investment in innovation, product development, technology and operational efficiency, offering the market increasingly comprehensive, high-performance solutions.
With this acquisition, Goglio further consolidates its position among the leading flexible packaging operators in South America and strengthens the Group’s ability to support customers with innovative, cutting-edge solutions.
In connection with the transaction, Goglio was assisted by the law firm Dupont Spiller Fadanelli Advogados, while the sellers were assisted by the law firm GBCDLC Advogados and by IGCP as financial advisor.
